Vendor Terms and Conditions Effective Date: 01-01-2026 Welcome to TechnoHacks Solutions Pvt. Ltd. (“TechnoHacks”, “we”, “our”, “us”). These Vendor Terms and Conditions (“Terms”) govern the relationship between TechnoHacks and vendors, resellers, partners, or service providers (“Vendor”, “you”) who access or use our website, platform, or WhatsApp Marketing Portal services. By registering or operating as a Vendor on our platform, you agree to be bound by these Terms. If you do not agree, you must not use the platform. 1. Acceptance of Terms By accessing or using the TechnoHacks platform as a Vendor, you agree to these Terms and our Privacy Policy. Continued use of the platform constitutes acceptance of any updates or modifications. 2. Eligibility Vendors must be at least 18 years of age and legally capable of entering into binding agreements under Indian law. By registering, you confirm that you meet these requirements. 3. Scope of Services TechnoHacks provides Vendors access to WhatsApp marketing and automation services, including but not limited to: Bulk messaging solutions Chat automation and chatbot tools Campaign management and customer engagement features White-label or reseller access (where applicable) TechnoHacks reserves the right to modify, suspend, or discontinue any service at its discretion without prior notice. 4. Vendor Responsibilities As a Vendor, you agree to: Provide accurate, complete, and up-to-date business and contact information Use the platform only for lawful, authorized, and ethical business purposes Comply with all applicable laws, regulations, and Meta (WhatsApp) policies Obtain proper consent from end-users before sending WhatsApp communications Avoid spam, fraud, misleading promotions, or abusive activities Vendors are solely responsible for the actions, content, and campaigns conducted through their accounts or on behalf of their clients. 5. Account Security Vendors are responsible for safeguarding login credentials, API keys, and access tokens. TechnoHacks shall not be liable for losses or damages resulting from unauthorized access caused by Vendor negligence or misuse. 6. Payments, Commissions, and Refunds Vendors agree to pay all applicable fees, subscription charges, or usage-based costs as per the agreed plan Any commissions or revenue-sharing arrangements will be governed by separate written agreements All payments made to TechnoHacks are non-refundable, unless explicitly stated otherwise in writing Failure to make timely payments may result in suspension or termination of Vendor access. 7. Intellectual Property All platform software, branding, trademarks, logos, content, and systems remain the exclusive intellectual property of TechnoHacks Solutions Pvt. Ltd. Vendors are granted a limited, non-transferable, non-exclusive right to use the platform strictly as permitted under these Terms. Unauthorized copying, resale, reverse engineering, or misuse is strictly prohibited. 8. Privacy and Data Protection Vendors must comply with all applicable data protection and privacy laws. TechnoHacks acts only as a service provider and is not responsible for Vendor-collected or Vendor-processed end-user data. 9. Limitation of Liability To the maximum extent permitted by law, TechnoHacks shall not be liable for any indirect, incidental, consequential, or business losses arising from Vendor use of the platform or services. 10. Termination TechnoHacks reserves the right to suspend or terminate Vendor access immediately and without prior notice if the Vendor: Violates these Terms Breaches Meta or WhatsApp policies Engages in unlawful, abusive, or harmful activities Termination does not waive any outstanding payment obligations. 11. Governing Law These Terms shall be governed by and construed in accordance with the laws of India, and courts in India shall have exclusive jurisdiction. 12. Changes to Terms TechnoHacks may revise these Terms at any time. The updated version will be made available on the platform. Continued use after changes constitutes acceptance. 13.
